Advertising and Partnership Terms and Conditions

These terms and conditions are applicable to any and all agreements for the delivery of sponsorship, partnerships, advertising or promotion (either by written email confirmation or a signed ‘Contract’), between parties ‘The Client’ and ‘The Owner’.

1. Definitions

The Client’ is any party who is receiving services from The Owner, either at no cost or in lieu of financial or in-kind payment (as outlined in the relevant agreement).

The Owner’ is Mums of the Shire (MOTS).
The Owner owns and operates:

Facebook Page: https://www.facebook.com/mumsoftheshire/ (the “Facebook Page”)
Private / closed Facebook Group: https://www.facebook.com/groups/mumsoftheshire (the “Facebook Group”) Instagram Feed: https://www.instagram.com/mumsoftheshire/ (the “Instagram”)‘Booking’ is any confirmed delivery of services including paid or in-kind partnership packages, advertising, promotion or sponsorship for The Client, by The Owner and/or its affiliates.

‘Fee(s)’ is any payment of monetary or in-kind value for the delivery of services for The Client, by The Owner and/or its affiliates.

‘Contract’ is the document produced by MOTS and signed by both parties, which outlines the services and associated fee(s) for The Client, delivered by The Owner and/or its affiliates.

‘Entitlements Schedule’  is the document produced by MOTS and issued to The Client, which outlines the specific items/benefits for delivery of the Booking, by The Owner.

2. Confirmation of Booking

MOTS will confirm a Booking by issuing a counter-signed copy of the Contract with an Entitlements Schedule and invoice for payment of the Fee(s). Contracts remain valid for 7 days after the date of issue, unless otherwise stated, and must be signed and returned in order to secure a Booking. Payment via credit card on the MOTS website does not solely constitute a confirmed booking.

3. Duration of Booking

Official Partnership (Platinum, Silver, Gold) or Custom Packages are valid and secured for 12 months from the date of Confirmation of Booking. Entitlements will be delivered during these 12 months, in accordance with the Entitlements Schedule. All other Bookings including Highlights, Event & Feature packages are a one-off purchase and valid from confirmation till delivery of the booking.

4. Payment of Fee(s)

Full payment of the total fee as outlined in the Contract is required within 14 days from invoice date of issue, unless otherwise stated in the Contract. Failure to pay fee or deliver the in-kind arrangement by the deadline, can result in the termination of the Booking. All invoices are in AUD. All fees and payments are due prior to the commencement of execution and delivery.

5. Cancellation

Either party may terminate their Contract for convenience by providing fifteen (15) days written notice to the other party.
If a party violates its obligations to be performed under the Contract, the other party may terminate the Contract by sending a fifteen (15) days’ notice in writing. Upon receiving such notice, the defaulting party shall have fifteen (15) days from the date of such notice to cure any such default. If the default is not cured within the required fifteen (15) day period, the party providing notice shall have the right to terminate this Agreement.
Unless agreed to in writing, no monies will be refunded in the event of a cancellation.

6. Assignment

The Client is not permitted to assign, sublet or apportion the whole or any part of their Booking except upon prior written consent of The Owner.

7. Supply of Materials

The Client agrees to provide all required materials, including copy/images/information by the dates/deadlines as outlined in the Entitlements Schedule, if the formats requested. The Client acknowledges failure to do so may result in the delivery of some entitlements being delayed or void.

8. Edit & Publication of Content

The Client agrees that the publication and posting of any content is at the sole discretion of The Owner. The Client acknowledges that The Owner may edit some or all of the supplied materials to ensure the brand & theme of MOTS publications and platforms is maintained. The Owner will ensure any edits are required and necessary and will relate to any key information (names, dates, locations) of information provided by The Client.
